These Terms of Service (the "Terms") set out the conditions for use of TEL050JP and related services (the "Service") provided by FUDO LLC (the "Company").
1. Application
These Terms apply to all relationships between the Company and users in connection with the use of the Service. Guidelines, price lists, and other individual conditions posted by the Company on the Service form part of these Terms. In the event of any conflict, the individual conditions prevail, followed by these Terms, in that order.
2. Registration
Applicants shall agree to these Terms and the Privacy Policy and apply by accurately providing the information required by the Company. The Company may refuse or revoke registration where there are false statements, past violations of these Terms, a risk of unauthorized use, relationships with anti-social forces, or other circumstances the Company reasonably deems inappropriate.
3. Account Management
Users shall manage their authentication credentials and devices at their own responsibility and shall not allow third parties to use them. If you become aware of any leakage or unauthorized use of your credentials, contact the Company immediately.
Users may, by the method prescribed by the Company, authorize an AI agent or other software ("Linked Software") to use all or part of the features of their account. Operations performed by Linked Software within the scope of that authorization are deemed to have been performed by the user, and any fees, consumption of points, and other consequences arising from them are borne by the user.
The selection, configuration, and supervision of Linked Software, and the handling of information obtained by it, are the user's responsibility; the Company does not warrant the operation, accuracy, or safety of Linked Software. Users may revoke the authorization at any time from the screen prescribed by the Company.
4. Phone Number Verification and Identity Verification
The phone number verification performed by the Company is, in principle, confirmation that the number in question can be operated by the user; it does not certify the identity, subscriber name, or creditworthiness of the contract holder. Separately, the Company may require identity verification (eKYC) depending on applicable laws, the features provided, or the price plan.
5. 050 Numbers and Communication Features
Users shall use assigned 050 numbers, calls, fax, voicemail, and other communication features in accordance with applicable laws and the conditions of use presented by the Company. Numbers are not the property of users and may be changed, suspended, or reclaimed due to termination of the contract, prolonged non-use, non-payment of fees, unauthorized use, regulatory or carrier circumstances, or other reasons.
Transmissions made through Linked Software are treated as transmissions by the user for the purposes of this Article and Article 6.
Calls to 110 (police), 118 (coast guard), 119 (fire and ambulance), and other emergency numbers cannot be made from the Service. Users shall secure their own means of making emergency calls, such as a mobile phone. Numbers that cannot be called from the Service are separately specified by the Company.
6. Fees and Payment
The fees for the Service, the scope of free use, usage-based charges, the purchase, use, and expiration of points, payment methods, and other fee conditions are indicated on the price pages and application screens separately established by the Company. The conditions posted on the price pages form part of these Terms.
When the Company changes fees or billing conditions, it will give advance notice on the Service of the changes and their effective date. Revised fees apply to use or contract renewals on or after the effective date.
7. Communication Content and Retention Periods
The Service handles call and fax history, metadata, and communication content that users request to be stored, to the extent necessary to provide its features. What is stored, retention periods, deletion timing, and recoverability are governed by the price plan, on-screen indications, and the Privacy Policy. Data deleted after a retention period expires cannot, in principle, be recovered.
8. Prohibited Conduct
Users must not engage in violations of law, fraud, threats, harassment, nuisance communications, impersonation of third parties, unsolicited advertising, infringement of rights, unauthorized access, circumvention of authentication, placing excessive load on systems, unauthorized resale of numbers or accounts, or conduct that interferes with the operations of the Company or telecommunications carriers.
Users must not connect Linked Software to another person's account, or use Linked Software for bulk or repeated transmissions or otherwise to circumvent usage limits set by the Company.
9. Restriction and Suspension of Use
The Company may restrict or suspend use to the extent necessary in cases such as violations of these Terms, suspected unauthorized use, non-payment of fees, security emergencies, maintenance, failures, requests under law or from public authorities, or measures taken by telecommunications carriers. Except in emergencies, the Company will endeavor to give notice by reasonable means.
If the Company detects operations by Linked Software of an abnormal frequency or nature, it may suspend or revoke the authorization under Article 3 without prior notice to the user.
10. Intellectual Property
The software, text, images, trademarks, and other rights constituting the Service belong to the Company or their rightful holders. These Terms do not transfer any of those rights to users.
11. Warranties and Liability
The Company does not guarantee that the Service will be provided continuously or without interruption, that it will be compatible with all devices and network environments, that communications will reliably reach the other party, that stored data will be retained permanently, or any other specific service level. Unless otherwise agreed in writing, there is no service-level guarantee expressed in figures such as uptime or recovery time.
If a user suffers damage due to causes attributable to the Company, the Company shall be liable for direct and ordinary damage actually incurred. Where the Company is only slightly negligent, the upper limit of compensation shall be the total usage fees paid by the user to the Company during the 12 months preceding the date the damage occurred, or 10,000 yen, whichever is higher.
The limitation of liability in the preceding paragraph does not apply to damage caused by the Company's willful misconduct or gross negligence, damage to the life or body of a user, or other cases where liability cannot be limited under applicable law.
12. Cancellation and Termination
Users may request cancellation of a price plan from the account screen. Cancellation is treated as stopping automatic renewal, and users may continue to use the plan until the end of the current usage period. No pro-rata settlement or refund of fees or points is made for cancellation partway through a usage period, except where a refund is required by law.
Cancelling a price plan does not immediately invalidate the account or unused points, which remain usable until their respective expiration dates. If the account itself is deleted, remaining points, assigned phone numbers, and unexecuted scheduled transmissions become unavailable. Transmissions that have already begun processing may not be cancellable.
After the contract ends, communication history, stored data, and other information is retained or deleted in accordance with the price plan, the indications regarding retention periods, and the Privacy Policy. Users' statutory rights of rescission and other rights are not limited by this Article.
13. Amendments to the Terms
The Company may amend these Terms in accordance with applicable laws, taking into account the necessity of the amendment, the reasonableness of its content, and other circumstances. Material changes will be announced on the Service or by other appropriate means by the effective date.
14. Governing Law and Jurisdiction
These Terms and any contract relating to the Service are governed by the laws of Japan. If a dispute arises between the Company and a user in connection with the Service, the district court or summary court having jurisdiction over the location of the Company's head office shall be the agreed court of first instance. However, this does not preclude jurisdiction of another court where the user qualifies as a consumer or where filing suit with another court is otherwise permitted by law.
